| This contest is held by Wendy’s Restaurants of Canada Inc. (“Wendy’s”). It runs from April 7, 2008 at 12:00 a.m. [ET] to May 30, 2008 at 11:59 p.m. [ET] (the “Contest Period”).
Eligibility

Residents of Quebec over the age of 13 who participate
in any variety of sports teams consisting of four (4) or
more players may enter this contest. Employees of, immediate
family members of, or those residing with an employee of
Wendy’s, its agents and representatives, its parent,
affiliates, subsidiaries and franchisees, advertising and
promotional agencies, suppliers of prizes, materials or
services related to this contest, including the independent
judging organization, are not eligible to enter this contest. |

Visit www.zonesportivewendys.ca and register your team by completing the indicated required fields including your team’s sport, your team’s name, your name, your email address, and your mailing address before 11:59 p.m. ET on May 30, 2008. The first person from the team to sign up will be designated as the Team Captain (“Team Captain”) for the purposes of this contest only. Each Team (“Team”) requires a minimum of four (4) team members to register with their team to be entered into the contest. Team Captain must also upload a jpeg photo of his/her team which may be used in a television spot for Wendy’s which may be aired on Le Réseau des Sports (RDS). Team Captain and all people featured in the photo will be required to consent to the use of the photo and their likeliness if it is used in a RDS television spot . Minors in the photo must have signed permission from their parent or legal guardian. The Team Captain will be given the option to enter the names and email addresses of any additional team members to notify them that the team has been registered. Each team member must individually visit www.zonesportivewendys.ca and register as part of the team that the Team Captain has created by providing his or her first name, last name, and email address. The team will not be entered into the contest until the minimum quantity of four (4) members have registered and the Team Captain presses the “This is My Team” button on his or her log in page. Additional members may still sign up for the team after the “This is My Team” button has been pressed. All teams who have previously registered with the website last year, before the start of the new Contest Period will automatically receive one (1) entry into the contest. If a team from last year is selected as a winner, they must still be a team at the time of the draw date to be eligible to win. Limit of one (1) contest entry per Team throughout the duration of the Contest Period. One (1) person may belong to and register for multiple teams.
Once the Team Captain has pressed the “This is My Team” button the Team will be sent one (1) $1 Wendy’s Gift Card for each team player that has registered for the team up to a maximum of fifteen (15), while supplies last. In the event more than fifteen (15) team members have registered, the first fifteen (15) to register will qualify to receive the cards. The “This is My Team” button can only be pressed once and no more Wendy’s Gift Cards will be distributed if additional team members register. It is the responsibility of the Team Captain to disperse one (1) $1 Wendy’s Gift Card to each member of the team. Contest Sponsors are not responsible for each qualifying team member receiving a Wendy’s Gift Card from the Team Captain. Limit of one (1) Wendy’s Gift Card per person during the Contest Period regardless of the number of teams a person belongs to. Only those teams who register during the Contest Period are eligible to receive Wendy’s Gift Cards. Wendy’s Gift Cards are not redeemable for cash and have no expiry.

Prizes

There are eight (8) Grand Prizes of being named Wendy’s Team of the Week available to be won, (one each week) each consisting of one (1) Wendy’s Team of the Week Duffle Bag for each team member, up to a maximum of fifteen (15) team members and one (1) Sports Experts Gift Certificate for $1000 CDN to be used towards sporting equipment for the sports team at the Team Captain’s discretion. The approximate retail value of each Duffle Bag is $36.50 CDN. All incremental costs in claiming the prizes not outlined in this description are the sole responsibility of the Team Captain. Prize must be accepted as described in these rules and cannot be transferred to another person, substituted for another prize, or exchanged in whole or in part, for cash, subject to the provisions set forth elsewhere in these rules. It is the responsibility of the Team Captain to spend the $1000 Sports Experts Gift Certificate on equipment for the sports team at his/her sole discretion and to distribute the Duffle Bags to the team members. Contest Sponsors are not responsible for how the Gift Certificate is spent. The Sports Experts Gift Certificate is not redeemable for cash and expires December 31, 2009. Total value of prizing available to be won is approximately $12,380 CDN.
All taxes on the prizes other than taxes specifically referred to in these rules are the responsibility of the winner. |
Draws

Random draws will be held at approximately 10:00 a.m. [ET] on April 10th, 17th, 24th, May 1st, 8th, 15th, 22nd, and June 2nd of 2008 by the independent judging organization, MacLaren Momentum, in Toronto, Ontario from all eligible entries received up until the time of the random draw. Five (5) entries will be randomly selected for every draw. The Contest Organizers will then judge the five (5) randomly drawn entries and select the Team of the Week based on the originality and appeal (weighed equally) of the entrant’s team. The odds of being selected as the potential winner depend on the total number of eligible entries received during the Contest Period and the originality and appeal of the entrant’s team as judged by Contest Organizers. Maximum one prize per team. |
General Conditions

To be declared a winner and claim a prize, the Team Captain of the selected team must: |

a) |
Be reached by phone or by mail by the independent judging organization within two (2) days of the random draw. |
| |
| |
b) |
Correctly answer without assistance of any kind, a time-limited, arithmetical skill-testing question that will be asked by the independent judging organization over the telephone at a mutually convenient time. |

| |
c) |
Be eligible according to the contest rules and sign a Declaration and Release form that will be sent by fax or e-mail and return it, duly completed to the contest organizers within two (2) days of its receipt. The Declaration and Release form requires a potential winner on behalf of all team members to confirm, except where prohibited by law, acceptance of the prize as awarded, eligibility to participate in this contest and compliance with these rules and to release Wendy’s, its parent, affiliates, subsidiaries, divisions, franchisees, its advertising and promotional agencies, suppliers of prizes, materials or services related to this contest, and the independent judging organization, and all of their respective employees, directors, officers, shareholders, agents, successors and assigns from any liability and damages which could arise out of or are in any way related to the contest or from the awarding, receipt, possession and/or use or misuse of the prize. If a photo is used in a RDS television spot, each team member must sign a Declaration and Release form. If not every team member returns their signed Declaration and Release form, the team’s name but no photo will appear on RDS. If the team photo was taken by a professional photographer, the photographer will also need to also sign a Declaration and Release form. |

Failure to comply with any of the above conditions or otherwise with the rules, will result in the disqualification of the selected contestant. In this event, the next highest judged team from the remaining valid entries received will be performed to award the prize and the entrant selected must be able to be reached by phone or by e-mail within 48 hours of the new draw, failing which another draw will be held within a subsequent equal timeframe up until such a time as an official winner is declared. Notwithstanding the foregoing, the winning team must be declared no later than five (5) days after the random draw, otherwise the prize(s) will be void. If, as a result of an error relating to the entry process, drawing, printing or any other aspect of the contest or for any reason, there are more potential winners of a prize than contemplated in the contest rules, Wendy’s, at its discretion, may conduct a random draw amongst all eligible prize claimants after the contest closing date to award the prize. |

Upon receipt of the Declaration and Release form, the contest organizers will notify the Prize winner of the manner in which he/she will have to take possession of the prize. Wendy’s reserves the right to determine how the presentation of the prize will occur and this may be either a media event, by mail, or in person. |

By entering this contest, each team member (or his/her parent/legal guardian, if a minor and under the age of majority) authorizes the contest organizers and their representatives to use in any related publicity, if required, his/her name, team photo, photograph, image, any statements he/she may make regarding the prize, place of residence and/or voice for advertising purposes worldwide in perpetuity and in any form of media including the Internet, without any additional form of compensation. |

All entries become the property of Wendy’s and will not be returned to entrants at any time. By entering, each entrant grants permission to post the Team Photo on the website and warrants and represents that they have consent from the photographer of the Team Photo and each team member in the photo (or their parent/legal guardian if a minor). No communication or correspondence will be exchanged with entrants, except with the entrants selected to win a prize. |

In the event that, for reasons beyond their control and not related to the winner, the contest organizers are unable to award a prize as described in these rules, they will agree to substitute a prize of similar nature and equal or greater value or, at their sole discretion, the cash value of the prize. |

| 11. |
The contest is void where prohibited by law and is subject to all applicable Federal, Provincial and Municipal laws and regulations. Any dispute arising hereunder shall be adjudicated in the applicable court in Toronto, Ontario. |

| 12. |
Entries are subject to verification by the contest organizers. Wendy’s and its franchisees, its advertising and promotional agencies, their employees, agents and representatives may not be held liable for late, lost, delayed, not received, damaged, misdirected, incomplete, stolen, fraudulent, or illegible entries (all of which entries shall be automatically void and not eligible for a prize). Wendy’s (or the independent judging organization) reserves the right to void any entry and/or cancel or modify the contest in whole or in part (without notice to entrants individually) if, in their sole discretion, (subject to the approval of the Régie.) they determine that for any reason the contest is not capable of running as originally planned, fraud, technical failures, human, printing or distribution errors or any other causes or occurrences have compromised the administration, safety, fairness or integrity of the contest. Any person entering this contest or trying to do so by any means which go against the intention of these Rules and which would be unfair to the other participants will be automatically disqualified and Wendy’s reserves the right to seek remedies and damages to the fullest extent permitted by law - including criminal prosecution. |

By entering this contest, entrants accept and agree to be bound by these rules and the decisions of the Wendy’s and the independent judging organization, which are final, binding and conclusive on all matters relative to this contest. |

| 14. |
Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux du Quebec for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a fair settlement. |

| 15. |
By entering this contest, entrants accept and agree to be bound by these rules and the decisions of the Sponsor and the independent contest judges, which are final, binding and conclusive on all matters relative to this contest. |
